TERMS AND CONDITIONS OF THE AcadEx ONLINE TEACHING PARTNERSHIP PROGRAM

1. PURPOSE OF THE PROGRAM
The AcadEx Online Teaching Partnership Program is established to create a structured and collaborative framework through which qualified educators can develop, publish, deliver, and promote high-quality online courses through the AcadEx learning platform.
The program is designed to foster innovation in education by creating a community of professional educators who are committed to excellence in teaching, lifelong learning, and student success.
These Terms and Conditions define the policies, standards, responsibilities, rights, and obligations governing participation in the AcadEx Online Teaching Partnership Program.
Participation in the program constitutes acceptance of these policies.
2. NATURE OF THE PARTNERSHIP
The AcadEx Online Teaching Partnership Program is a professional educational partnership between AcadEx COGNITIVE and approved educators.
Participation in the program does not constitute:
- Employment
- Permanent or temporary appointment
- Agency
- Joint ownership of AcadEx
- An employer-employee relationship
Teaching Partners shall participate in the program as independent educators operating within the policies, procedures, and standards established by AcadEx.
AcadEx shall provide the technological infrastructure, administrative systems, student-support mechanisms, and platform services necessary for the delivery of online education.
Teaching Partners shall contribute their expertise through the development and delivery of educational content.
3. ELIGIBILITY AND ADMISSION
Participation in the program shall be limited to educators who have:
- Successfully completed the application process
- Satisfied the selection requirements established by AcadEx
- Successfully completed the mandatory training program
- Successfully completed all required assessments and evaluations
- Created and maintained an active Tutor/Instructor account on the AcadEx platform
- Agreed to comply with all applicable policies governing the program
Admission into the program shall remain subject to the approval of AcadEx.
AcadEx reserves the right to reject, suspend, or revoke participation when necessary, and with a reason attached.
4. THE ROLE OF A TEACHING PARTNER
An AcadEx Teaching Partner is responsible for the creation, delivery, management, and continuous improvement of educational content hosted on the AcadEx platform.
The responsibilities of a Teaching Partner include:
- Developing online courses
- Creating course outlines and learning objectives
- Producing instructional materials
- Recording and uploading course videos
- Designing assignments, quizzes, and assessments
- Updating course content when necessary
- Maintaining active communication with learners
- Providing academic guidance and support
- Monitoring student progress
- Maintaining professional standards at all times
Teaching Partners are expected to uphold the values and reputation of AcadEx through their conduct, communication, and instructional practices.
5. COURSE DEVELOPMENT REQUIREMENTS
Teaching Partners shall be responsible for developing their own courses.
Course content may include, but shall not be limited to:
- Video lectures
- Course presentations
- Reading materials
- Assessments
- Assignments
- Practice exercises
- Downloadable learning resources
- Supplementary educational materials
All courses submitted for publication shall be reviewed by AcadEx to ensure compliance with academic, technical, instructional, and quality standards.
AcadEx reserves the right to request revisions, modifications, or additional improvements before approving a course for publication.
The approval of a course for publication shall remain at the sole discretion of AcadEx.
6. INTELLECTUAL PROPERTY AND CONTENT OWNERSHIP
Teaching Partners shall retain authorship of the educational content they create.
However, all educational content developed and published under the AcadEx Online Teaching Partnership Program shall be subject to the exclusive content distribution and commercialization rights of AcadEx while such content remains hosted on the platform.
By participating in the program and publishing content on the AcadEx platform, Teaching Partners grant AcadEx an exclusive license to:
- Host the content
- Publish the content
- Distribute the content
- Market the content
- Promote the content
- Deliver the content to learners through the AcadEx platform
Teaching Partners shall not publish, reproduce, distribute, or commercially license the same course content on competing educational platforms without the prior written authorization of AcadEx.
Teaching Partners shall ensure that all submitted materials are original and do not violate any copyright, intellectual property, or licensing laws.
The submission of plagiarized, unauthorized, or copyrighted materials without permission shall result in disciplinary action, including the removal of content, course suspension and possible termination from the program.
7. COURSE QUALITY ASSURANCE
AcadEx is committed to maintaining the highest standards of educational quality.
All courses published on the platform shall meet established standards relating to:
- Academic quality
- Instructional design
- Content organization
- Technical quality
- Accuracy
- Relevance
- Professional presentation
AcadEx reserves the right to review, evaluate, revise, suspend, or remove any course that does not meet the required standards.
Teaching Partners shall cooperate fully during all quality assurance and content review processes.
8. REVENUE-SHARING POLICY
The AcadEx Online Teaching Partnership Program operates under a revenue-sharing model.
A total of 5% of the revenue generated from every course shall be allocated to platform maintenance.
Platform maintenance costs include, but are not limited to:
- Platform infrastructure
- Website maintenance
- Learning management systems
- Hosting services
- Payment processing systems
- Technical operations
The remaining 95% of the course revenue shall be shared between the Teaching Partner and AcadEx.
Under this arrangement:
- The Teaching Partner shall receive 65% of the distributable revenue.
- AcadEx shall receive 35% of the distributable revenue.
Example of the Revenue-Sharing Structure
If a course generates 100,000 FCFA in revenue:

| Teaching Partner’s share (65%) | 61,750 FCFA |
| AcadEx’s share (35%) | 33,250 FCFA |
9. MARKETING AND STUDENT RECRUITMENT
Student recruitment shall be a shared responsibility between AcadEx and the Teaching Partner.
Teaching Partners are encouraged to actively promote their courses through:
- Professional networks
- Academic communities
- Social media platforms
- Professional associations
- Personal branding initiatives
AcadEx shall provide marketing support through:
- Platform-wide promotional campaigns
- Digital marketing initiatives
- Social media marketing
- Search engine optimization
- Brand promotion
- Institutional partnerships
- Educational outreach programs
AcadEx does not guarantee student enrolment figures, course sales, or minimum revenue.
Course performance may vary depending on several factors, including course quality, market demand, pricing, competition, and promotional efforts.
10. STUDENT SUPPORT SERVICES
AcadEx shall provide administrative and technical support to facilitate student participation on the platform.
Support services may include:
- Student registration assistance
- Platform navigation support
- Payment support
- Technical support
- Administrative assistance
Teaching Partners shall remain responsible for all academic matters related to their courses, including:
- Course delivery
- Student engagement
- Academic guidance
- Assessment feedback
- Content updates
11. TUTOR PROFILE REQUIREMENTS
All Teaching Partners shall maintain a complete and professional Tutor/Instructor profile.
Every profile shall include:
- A professional profile photograph
- A professional biography
- Relevant academic qualifications
- Professional experience
- Appropriate social or professional links
Teaching Partners shall ensure that all profile information remains accurate and current.
AcadEx reserves the right to request modifications to any profile that does not meet established standards.
12. PROFESSIONAL CONDUCT AND ETHICAL STANDARDS
Teaching Partners shall demonstrate the highest standards of professional and ethical conduct.
Teaching Partners shall:
- Maintain professionalism in all interactions
- Respect all students and colleagues
- Demonstrate honesty and integrity
- Protect student privacy
- Promote an inclusive learning environment
- Avoid discriminatory behavior
- Comply with all applicable policies and procedures
Any conduct that negatively affects students, colleagues, the learning environment, or the reputation of AcadEx may result in disciplinary action.
13. PROHIBITED ACTIVITIES
The following activities are strictly prohibited:
- Plagiarism
- Academic dishonesty
- Copyright infringement
- Fraudulent activities
- Misrepresentation
- The publication of false or misleading information
- The unauthorized sharing of confidential information
- Harassment or discrimination
- Any activity that compromises the integrity of the platform
Violations may result in content removal, suspension, or permanent removal from the program.
14. CONTENT REVIEW, SUSPENSION, AND REMOVAL
AcadEx reserves the right to review all educational content published on the platform.
A course may be suspended or removed if it:
- Fails to meet quality standards
- Contains inaccurate information
- Violates intellectual property regulations
- Contravenes platform policies
- Damages the reputation of AcadEx
Teaching Partners shall be notified whenever possible before corrective measures are implemented.
15. TERMINATION OF PARTICIPATION
AcadEx reserves the right to terminate a Teaching Partner’s participation in the program in cases involving:
- Policy violations
- Professional misconduct
- Repeated quality concerns
- Fraudulent activities
- Intellectual property violations
- Ethical misconduct
Participation in the program may also be discontinued voluntarily by the Teaching Partner.
16. POLICY AMENDMENTS
AcadEx reserves the right to amend, revise, modify, or update these Terms and Conditions whenever necessary, subject to deliberations with teaching partners.
All amendments shall become effective immediately upon publication or official communication.
Continued participation in the program after any amendment shall constitute acceptance of the revised policy.
17. FINAL PROVISIONS
The AcadEx Online Teaching Partnership Program is founded on the principles of:
- Excellence
- Professionalism
- Innovation
- Integrity
- Collaboration
- Lifelong learning
- Student-centered education
All Teaching Partners are expected to familiarize themselves with these Terms and Conditions and to comply with all applicable policies throughout their participation in the program.
Failure to comply with these policies may result in corrective action, suspension, or termination from the program.
